Found a pretty much rust free 1984 300D, starts up fine and stops quick. good for diesels.
anyting i should look for?
might split the cost as a projcet between a friend and i for $400 each.

car needs a new right fender, interior climate control buttons, window switches, a new drivers seat, and some tlc. besdies thsoe its MINT.

should i?

Not me. I will never ever ever ever buy another car from up north when there is a plentiful supply of no-rust cars in Texas Florida and California. Pay a little more and get a car that does not need all that work.

If you are looking for a car to work with in becoming knowlegable in the technology of diesels, this would be a good model to look at. That being said, only you should decide if it is for you. The W123 body and the OM617 engine are great for DIY'ers. Even though you are looking at a minumum initial investment, you should still have a PPI (pre-purchase inspection) done. A full blown 60,000 mile service at a dealer can run more than $800. "There's nothing more expensive than a "cheap" Mercedes-Benz"
